1. Introduction and Acceptance

Welcome to Graphity AI (the "App"). By downloading, accessing, or using the App, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the App.

These Terms are a legally binding agreement between you ("User," "You") and Graphity Limited ("Company," "We," "Us").

2. Nature of the App: No Veterinary-Client-Patient Relationship (VCPR)

Crucial Disclaimer: Graphity AI is a digital tool designed to assist pet owners in assessing symptoms and providing guidance on the urgency of a pet's condition. It is not a substitute for professional veterinary medical advice, diagnosis, or treatment.

By using this App, you acknowledge and agree that:

  • The information provided by the App is for informational and educational purposes only.
  • Using the App does not create a Veterinary-Client-Patient Relationship (VCPR) between you and the Company, its founders, or any affiliated veterinarians.
  • The App does not replace the clinical judgment of a licensed veterinarian who can physically examine your pet.
  • In the event of an emergency, you should seek immediate in-person care from a licensed veterinary hospital or emergency clinic.

3. Eligibility

You represent that you are the legal owner of the pet for which you are seeking information, or that you are an authorized caregiver (e.g., employee of a shelter, foster parent) with the legal authority to make decisions regarding that pet’s care.

If you are under the age of 18, you represent that you have obtained consent from a parent or legal guardian to use the App.

4. User Accounts and Responsibilities

To use the App, you may be required to create an account. You are responsible for:

  • Maintaining the confidentiality of your login credentials.
  • All activities that occur under your account.
  • Providing accurate and complete information regarding your pet’s symptoms, history, and health status.

5. Prohibited Use

You agree not to use the App for any unlawful purpose or in any way that could damage, disable, or impair the App. You specifically agree not to:

  • Use the App as the sole basis for delaying or refusing to seek in-person veterinary care.
  • Reverse engineer, duplicate, or copy the App’s underlying algorithm or content.
  • Use the App to diagnose or treat animals that are not under your direct ownership or care.

6. Disclaimer of Warranties

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, Graphity Limited DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The App’s triage results will be accurate, complete, reliable, or error-free.
  • The App will be available at all times, uninterrupted, or secure.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Graphity Limited, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR USE OR INABILITY TO USE THE APP.
  • ANY DECISION MADE OR ACTION TAKEN IN RELIANCE UPON THE INFORMATION PROVIDED BY THE APP.
  • THE DEATH, INJURY, OR ILLNESS OF YOUR PET ARISING FROM YOUR RELIANCE ON THE APP.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID US (IF ANY) FOR USE OF THE APP DURING THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

8. Indemnification

You agree to indemnify, defend, and hold harmless Graphity Limited and its affiliates, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney’s fees) arising from:

  • Your use of and access to the App.
  • Your violation of any of these Terms.
  • Your violation of any third-party right, including without limitation any copyright, property, or privacy right.
  • Any claim that your use of the App caused harm to your pet or a third party.

9. Subscription Fees and Refunds

If the App utilizes a subscription model (e.g., monthly or annual fee):

  • Billing: By purchasing a subscription, you authorize us to charge your payment method on a recurring basis.
  • Cancellation: You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing cycle.
  • Refunds: Except as required by law, fees are non-refundable. We do not provide refunds for partial billing periods.

10. Intellectual Property

All content, features, and functionality within the App, including but not limited to the triage algorithm, text, graphics, logos, and software, are the exclusive property of Graphity Limited or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our App without explicit written consent.

11. Third-Party Links

The App may contain links to third-party websites or services (e.g., emergency vet locators) that are not owned or controlled by us. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites.

12. Modifications to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our App after those revisions become effective, you agree to be bound by the revised terms.

13. Termination

We may terminate or suspend your account and bar access to the App immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation a breach of the Terms.

14. Governing Law

These Terms shall be governed and construed in accordance with the laws of Hong Kong SAR, without regard to its conflict of law provisions.

Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Hong Kong SAR.

15. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
